HTLOAD Terms and Conditions
1. Privacy Policy (CCPA/GDPR-Aware)
HTLOAD collects personal, business, shipment, payment, device, and verification information to operate its dispatch platform. Information is used for account verification, fraud prevention, dispatch coordination, route organization, payment processing, customer support, security, legal compliance, and service improvements. HTLOAD does not sell personal information. Users may request access, correction, or deletion of personal information where applicable by law. Data may be shared with payment processors, service providers, law enforcement when legally required, or during investigation of fraud or safety incidents.
2. General Terms of Service
HTLOAD is a dispatch service and technology platform. Drivers are independent businesses and determine their own transportation offers. Merchants pay drivers directly. HTLOAD earns a dispatch commission from the driver of 10%–19% as agreed. HTLOAD provides dispatch coordination, notifications of available loads, route organization, shipment management tools, and communications services.
3. Dispatch ↔ Merchant Agreement
Merchants represent that shipment information is accurate and cargo is lawful, properly packaged, and ready for pickup. Merchants agree to pay the selected driver directly according to the accepted offer. Merchants shall not circumvent HTLOAD by arranging future shipments outside the platform with drivers first introduced through HTLOAD. Violation may result in account termination and legal remedies.
4. Dispatch ↔ Driver Agreement
Drivers acknowledge they are independent contractors and are solely responsible for licensing, insurance, taxes, DOT/FMCSA compliance, vehicle safety, cargo securement, and transportation services. Drivers authorize HTLOAD to collect the agreed dispatch commission. Drivers shall maintain accurate account information and cooperate during incident investigations.
5. Dispatch ↔ Agent Agreement
Agents perform dispatch support solely under HTLOAD authorization. Agents shall protect confidential information, use the platform only for legitimate dispatch activities, avoid conflicts of interest, and may not collect unauthorized payments or negotiate outside approved procedures. Commission calculations remain governed by HTLOAD policies.
6. Driver Code of Conduct
Drivers shall communicate professionally, obey all laws, protect customer property, maintain insurance, avoid harassment, discrimination, fraud, intoxication, or unsafe conduct, and use platform contact information only for legitimate shipment coordination. Off-platform solicitation, misuse of merchant contact information, or attempts to avoid dispatch commissions are prohibited. Reported incidents may result in immediate temporary suspension pending investigation.

7. Merchant Code of Conduct
Merchants shall provide truthful shipment information, lawful cargo, accurate dimensions and weight, maintain respectful communications, pay drivers according to accepted offers, avoid discrimination, fraud, harassment, or misuse of platform information. Merchants shall not attempt to bypass HTLOAD or solicit drivers for future off-platform transportation services introduced through HTLOAD.
8. Acceptable Use Policy
Users may use HTLOAD only for legitimate dispatch and transportation coordination. Prohibited activities include fraud, false identities, spam, malware, unauthorized account access, reverse engineering, scraping platform data, impersonation, abusive language, illegal cargo, and using platform contact information for personal or commercial purposes unrelated to shipments. Contacting another user outside reasonable business hours for non-emergency purposes is strictly prohibited.
9. Payment & Commission Policy
Drivers agree to pay HTLOAD a dispatch commission ranging from 10% to 19% of the shipment fee according to their assigned agreement. Merchants pay drivers directly. Commission payments may be made by bank deposit, ACH where available, or credit/debit card. Card processing fees disclosed during checkout are the responsibility of the paying user. Failure to pay commissions may result in account suspension, collection activity, and refusal of future dispatch services.
10. Chargeback Policy
Users shall not initiate chargebacks for valid dispatch services. Before disputing a payment, users must contact HTLOAD support to seek resolution. Fraudulent or abusive chargebacks may result in immediate suspension, permanent termination, recovery of unpaid amounts, collection costs, attorney fees where permitted by law, and reporting to payment processors when appropriate.
11. Incident Investigation Policy
HTLOAD may immediately suspend accounts when an incident report is submitted. During an investigation, HTLOAD may request photographs, shipment records, bills of lading, GPS data, communications, insurance documents, police reports, delivery confirmations, or other relevant evidence. Users agree to cooperate fully. False, misleading, or malicious reports may result in permanent account termination and possible legal action.
12. Identity Verification (KYC) Policy
HTLOAD may require government-issued identification, driver's license, DOT information, insurance certificates, business registrations, banking information, address verification, email verification, phone verification, and other documents before granting full platform access. HTLOAD reserves the right to reject or suspend accounts when verification cannot be completed or fraud is suspected.
13. Data Protection Policy
HTLOAD implements administrative, technical, and physical safeguards to protect user information. Access to personal information is limited to authorized personnel and service providers with a legitimate business need. Users are responsible for maintaining the confidentiality of their credentials. HTLOAD may retain records for legal compliance, fraud prevention, dispute resolution, and business continuity.
14. Electronic Signature Agreement (ESIGN/UETA)
Users consent to receive records electronically and agree that clicking acceptance buttons, using OTP verification, or otherwise electronically confirming agreements constitutes a legally binding electronic signature to the fullest extent permitted by the federal ESIGN Act and the New Jersey Uniform Electronic Transactions Act (UETA).
15. Independent Contractor Agreement
Drivers and agents acknowledge they are independent contractors and not employees, partners, joint venturers, or representatives of HTLOAD. Nothing in the platform creates an employment relationship. Users are responsible for their own taxes, insurance, benefits, equipment, permits, and regulatory compliance.
16. Non-Circumvention & Non-Solicitation Agreement
Users shall not use contact information obtained through HTLOAD to arrange shipments outside the platform for relationships introduced by HTLOAD, avoid dispatch commissions, recruit platform users away from HTLOAD, or otherwise interfere with HTLOAD's business relationships. HTLOAD may suspend accounts and pursue contractual and legal remedies for violations.
17. Confidentiality Agreement
Users shall keep confidential all non-public information obtained through HTLOAD, including customer data, pricing discussions, shipment information, platform procedures, documents, and communications. Confidential information may be used only for legitimate shipment coordination.
18. Cargo Disclaimer
HTLOAD does not take possession of cargo, transport freight, warehouse goods, inspect shipments, guarantee delivery schedules, or insure shipments. Responsibility for cargo condition, loading, securement, transportation, unloading, and delivery remains solely with the merchant and the selected driver in accordance with their transportation agreement and applicable law.
19. FMCSA/DOT Compliance Disclaimer
HTLOAD provides dispatch coordination technology only. Each driver is solely responsible for complying with all applicable federal, state, and local transportation laws, including FMCSA and DOT regulations, maintaining required operating authority where applicable, driver qualifications, hours-of-service compliance, vehicle inspections, maintenance, cargo securement, insurance, and safety obligations.
20. Limitation of Liability
To the fullest extent permitted by New Jersey law, HTLOAD shall not be liable for cargo loss, theft, damage, delivery delays, missed appointments, vehicle breakdowns, accidents, regulatory penalties, insurance disputes, payment disputes between merchants and drivers, loss of profits, indirect, incidental, consequential, exemplary, or punitive damages arising from use of the platform.
21. Indemnification
Each user agrees to defend, indemnify, and hold harmless HTLOAD, its owners, officers, employees, contractors, agents, affiliates, successors, and assigns from any claims, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorney's fees arising from the user's shipments, conduct, negligence, violations of law, breach of these agreements, or infringement of third-party rights.
22. Arbitration Agreement
Except where prohibited by law, disputes arising from these agreements shall first be submitted to good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in New Jersey under applicable arbitration rules. To the extent permitted by law, users waive participation in class actions and agree to pursue claims only in their individual capacity.
23. Force Majeure
HTLOAD shall not be responsible for delays or failures caused by events beyond its reasonable control, including severe weather, natural disasters, acts of government, labor disputes, cyberattacks, utility failures, pandemics, terrorism, civil unrest, transportation interruptions, or failures of third-party services.
24. Suspension & Termination Policy
HTLOAD may immediately suspend or terminate any account for suspected fraud, non-payment of commissions, false information, repeated complaints, safety concerns, abusive behavior, unlawful cargo, platform circumvention, misuse of contact information, unauthorized off-platform solicitation, security risks, or violation of any HTLOAD policy. Suspension during an investigation does not imply fault and may remain in effect until the review is complete.
25. Refund Policy
Dispatch commissions are generally non-refundable once earned under the applicable dispatch agreement. HTLOAD may, in its sole discretion, issue refunds or credits in exceptional circumstances such as duplicate payments or verified processing errors. Card processing fees charged by third-party processors may be non-refundable where permitted by law.
26. Cookie Policy
HTLOAD uses cookies and similar technologies to authenticate users, maintain secure sessions, remember preferences, improve website performance, analyze usage, and enhance security. Users may manage cookie preferences through their browser settings, although disabling cookies may affect platform functionality.
27. Copyright & Intellectual Property Policy
All HTLOAD software, logos, trademarks, graphics, text, databases, workflows, and platform content are owned by or licensed to HTLOAD and protected by United States intellectual property laws. Users receive a limited, revocable, non-transferable license to access the platform solely for authorized business purposes. Unauthorized copying, redistribution, reverse engineering, or commercial exploitation is prohibited.
28. DMCA Policy
HTLOAD respects intellectual property rights and responds to valid copyright complaints. Copyright owners may submit notices identifying the allegedly infringing material, their ownership claim, and contact information. HTLOAD may remove or disable access to allegedly infringing material while investigating and may terminate repeat infringers.
29. New Jersey Governing Law
These agreements shall be governed by and interpreted under the laws of the State of New Jersey without regard to conflict-of-law principles. Unless subject to mandatory arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey.
30. Electronic Acceptance & Signature Pages
Each user shall affirmatively accept these agreements during registration or before accessing applicable services by checking an acceptance box and selecting an acceptance button.
